1. Introduction and Acceptance

Welcome to AffordCRM, a client relationship management and communication platform operated by Afford Equity, LLC ("Afford Equity," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the AffordCRM platform, including all associated websites, applications, features, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use AffordCRM. The Service is intended for business use. By creating an account, you represent and warrant that you meet these eligibility requirements and that you will use the Service in connection with legitimate business activities.

3. Account Registration and Security

To access AffordCRM, you must create an account using the authentication methods we provide, which may include Google OAuth or other supported sign-in providers. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@affordequity.com if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Use of the Service

AffordCRM is a business CRM and communications tool designed to help you manage client relationships, schedule appointments, track documents, collaborate with your team, and communicate with clients via transactional SMS.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Send spam, unsolicited marketing messages, or bulk communications through the SMS features.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use the Service to harass, abuse, or harm others.
  • Reverse engineer, decompile, or disassemble any portion of the Service.

You are responsible for the content you send through the platform, including SMS messages, and for ensuring compliance with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act, when using the communication features of the Service.

5. SMS and Communication Terms

The use of SMS messaging features within AffordCRM is subject to our SMS Terms & Conditions, which are incorporated into these Terms by reference. SMS features are intended exclusively for transactional, customer-care communications, including appointment reminders, document notifications, status updates, and customer support responses.

You are responsible for obtaining and maintaining proper consent from individuals before sending them SMS messages through the platform. You must honor opt-out requests promptly and maintain accurate records of consent. You agree not to use the SMS features for marketing or promotional purposes.

6. Fees and Payment

Access to certain features of AffordCRM may require a paid subscription. Subscription fees, billing cycles, and payment terms will be presented to you at the time of purchase or upgrade. Unless otherwise specified, subscription fees are billed monthly or annually in advance and are non-refundable except as required by applicable law.

We reserve the right to change our pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you dispute any charges, you must contact us within 30 days of the charge at support@affordequity.com.

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content, is the property of Afford Equity, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Service without our prior written consent.

8. User Content and Data

You retain ownership of all data, content, and information that you upload, store, or transmit through the Service ("User Content"). By using the Service, you grant Afford Equity a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. We do not endorse or assume liability for any User Content.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AFFORD EQUITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Afford Equity, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your User Content.

12. Termination

You may terminate your account at any time by contacting us at support@affordequity.com. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms or if continued access poses a risk to the Service or other users.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.

13. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of such courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and may notify you via email or through a notice on the platform. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
